1. INTRODUCTION
These Terms and Conditions ("Terms") govern your use of services provided by KADA Management Limited, a company registered in Ireland ("we", "us", "our", "KADA").
By purchasing any service, programme, or product from KADA Management, you agree to be bound by these Terms. If you do not agree to these Terms, do not purchase or use our services.

3. SERVICESKADA Management offers the following services:
3.1 Systems for a CEO Programme
- 12-week operational framework programme
- Investment: €3,400 (includes VAT - no additional charges)
- Payment options: Pay in full, 4 x €850 monthly payments, or €250 deposit
- Includes: Bi-weekly 1:1 calls, weekly group calls (subject to cohort availability), daily Slack support, access to KADA Vault resources
3.2 Operational Audits
- 3-hour audit: €499 + VAT
- 6-hour audit: €999 + VAT
- Deliverable: Written audit report and actionable recommendations
3.3 Operational Project Support
- Day rate: €650/day + VAT
- Minimum engagement terms may apply for ongoing projects
- Scope agreed in writing before work commences
3.4 Administrative Support
- Hourly rate: €65/hour + VAT
- Billed monthly for hours worked or at end of project - whichever comes first
- Scope agreed in writing before work commences
All prices are subject to change. Prices confirmed at time of booking and signing of contract are honoured for that specific engagement.
4. PAYMENT TERMS
4.1 Payment Methods
We accept payment via Stripe, bank transfer, or other methods as agreed in writing.
4.2 Payment Plans
Payment plans are available for the Systems for a CEO Programme and larger projects only. All instalments must be paid on time as agreed. Failure to pay instalments may result in suspension of services and/or access to services until payment is received.
4.3 Deposits
Where a deposit is required, the remaining balance must be paid in full before the programme start date unless a payment plan has been agreed in writing.
4.4 Late Payments
Late payments may incur a fee of €50 per week or suspension of services until payment is received.
4.5 VAT
Irish VAT is charged at 23% on all services.
Systems for a CEO Programme: The stated price of €3,400 is VAT-inclusive (no additional VAT charged). This price applies to all clients regardless of location.
All other services (Operational Audits, Project Support, Administrative Support): VAT at 23% is added to the stated price.
EU Reverse Charge: If you are VAT registered in another EU country, reverse charge may apply for services excluding the Systems for a CEO Programme. Please contact us before booking to confirm VAT treatment for your specific situation.
5. REFUND AND CANCELLATION POLICY
- 5.1 Systems for a CEO Programme
- Before programme starts: Full refund minus €250 administrative fee if cancelled more than 14 days before start date
- Within 14 days of start date: 50% refund
- After programme starts: No refunds. You may defer to the next available cohort subject to availability and our agreement
- Refunds are processed within 14 working days of approval
5.2 Operational Audits
- Full refund if cancelled more than 7 days before scheduled audit date
- 50% refund if cancelled within 7 days of scheduled audit date
- No refund for no-shows or same-day cancellations
- One reschedule permitted at no charge; subsequent reschedules subject to €50 administrative fee
5.3 Project Support and Administrative Support
- Billed for work completed only
- Either party may terminate ongoing arrangements with 14 days' written notice
- Final invoice issued for all work completed up to termination date
5.4 Force Majeure
If KADA is unable to deliver services due to circumstances beyond our reasonable control (illness, family emergency, technical failure), we will offer to reschedule or provide a pro-rata refund for services not delivered.
6. CLIENT RESPONSIBILITES
6.1 Engagement and Participation
You acknowledge that Systems for a CEO is a done-with-you programme requiring your active participation. Results depend on your commitment, effort, and implementation of the systems and processes taught.
6.2 Information Accuracy
You agree to provide accurate and complete information about your business when requested. Failure to do so may impact the effectiveness of our services.
6.3 Implementation
You are responsible for implementing the strategies, systems, and recommendations provided. KADA provides frameworks, guidance, and support, but does not implement on your behalf unless explicitly agreed in a separate project support arrangement.
6.4 Technical Requirements
You are responsible for maintaining:
- Reliable internet connection for video calls
- Access to Slack or other agreed communication platforms
- Any software or tools you choose to use for your business systems
6.5 Communication
You agree to respond to communications from KADA within a reasonable timeframe (typically 48 hours for programme-related matters).
7. INTELLECTUAL PROPERTY
7.1 KADA Materials
All materials, templates, frameworks, videos, and content provided through KADA programmes and services (including the KADA Cadence™ framework) remain the intellectual property of KADA Management Limited.
7.2 Licence to Use
You are granted a non-exclusive, non-transferable licence to use KADA materials for your own business purposes only. You may not:
- Share, distribute, or sell KADA materials to third parties
- Claim KADA materials as your own work
- Use KADA materials to create competing programmes or services
- Reproduce KADA frameworks or methodologies for commercial purposes without written permission
7.3 Your Business Materials
Any materials you share with KADA during our engagement remain your property. We may use anonymised examples or case studies with your written permission only.
8. CONFIDENTIALITY
8.1 Business Information
KADA agrees to keep all information about your business confidential and will not share it with third parties without your consent, except where required by law.
8.2 Testimonials and Case Studies
We will not use your name, business name, or specific results in marketing materials without your explicit written consent.
8.3 Group Programme Confidentiality
Participants in group programmes agree to keep information shared by other participants confidential.
9. DATA PROTECTION AND PRIVACY
9.1 GDPR Compliance
KADA Management processes personal data in accordance with the General Data Protection Regulation (GDPR) and Irish data protection law.
9.2 Data Collection
We collect only the personal information necessary to provide our services, including:
- Name, email address, phone number
- Business information and operational details
- Payment information (processed securely through third-party payment processors)
- Communication records
9.3 Data Use
Your data is used solely to:
- Deliver the services you purchased
- Communicate with you about your programme or project
- Improve our services
- Comply with legal obligations
9.4 Data Storage
Your data is stored securely using industry-standard platforms including Google Workspace, Slack, and other tools outlined in our Privacy Policy.
9.5 Your Rights
Under GDPR, you have the right to:
- Access your personal data
- Correct inaccurate data
- Request deletion of your data (subject to contractual and legal obligations)
- Object to processing
- Request data portability

9.6 Data Retention
We retain your data for the duration of our engagement and for 7 years thereafter for accounting and legal compliance purposes.
10. LIABILITY AND DISCLAIMERS
10.1 No Guarantees
KADA provides operational frameworks, systems guidance, and strategic support. We do not guarantee specific business results, revenue outcomes, or client numbers. Your results depend on factors beyond our control including your effort, market conditions, business model, and implementation quality.
10.2 Professional Advice
Our services constitute business operations consulting and strategic guidance. We do not provide legal, financial, or tax advice. You should consult appropriate licensed professionals for such matters.
10.3 Limitation of Liability
To the maximum extent permitted by Irish law:
- KADA's total liability for any claim arising from our services is limited to the amount you paid for those specific services
- KADA is not liable for indirect, consequential, or incidental damages including lost profits, lost revenue, or business interruption
- KADA is not responsible for outcomes resulting from your business decisions, implementation choices, or actions taken based on our guidance
10.4 Third-Party Tools
We may recommend third-party software, tools, or platforms. KADA is not responsible for the performance, security, or terms of service of third-party providers.
11. PROGRAMME-SPECIFIC TERMS
11.1 Group Call Availability
Weekly group calls for Systems for a CEO are subject to minimum cohort size. Where cohort size is insufficient, you will receive equivalent 1:1 support until a group forms.
11.2 Call Scheduling
Calls are scheduled by mutual agreement. Missed calls without 24-hour notice may not be rescheduled.
11.3 Slack Support
Daily Slack support is available Monday-Friday during Irish business hours (approximately 9am-5pm IST). Response times are typically within 24 hours on business days. Emergency same-day support is not guaranteed.
11.4 KADA Vault Access
Access to the KADA Vault and programme materials is granted for life. Once you complete Systems for a CEO, you retain permanent access to all templates, resources, and materials provided during your programme.
11.5 Mastermind Programme
Continuation in the mastermind programme for ongoing support after completing your initial 12 weeks in Systems for a CEO is subject to separate agreement and payment.
12. CONDUCT AND TERMINATION
12.1 Professional Conduct
We expect all clients to engage professionally and respectfully. KADA reserves the right to terminate services immediately without refund if you:
- Engage in abusive, threatening, or harassing behaviour toward KADA team members or other programme participants
- Breach confidentiality agreements
- Use KADA materials in violation of intellectual property terms
- Fail to pay agreed fees
12.2 Termination by KADA
KADA may terminate services with 14 days' written notice. In such cases, you will receive a pro-rata refund for services not yet delivered.
12.3 Termination by Client
You may terminate ongoing services (project support, administrative support) with 14 days' written notice. Programme terminations are subject to the refund policy in Section 5.
13. DISPUTE RESOLUTION
13.1 Informal Resolution
If you have a concern about our services, please contact us first at admin@kadamanagement.com. We commit to working with you to resolve issues informally wherever possible.
13.2 Mediation
If informal resolution fails, both parties agree to attempt mediation before pursuing legal action.
13.3 Governing Law
These Terms are governed by the laws of Ireland. Any disputes will be subject to the exclusive jurisdiction of the Irish courts.
14. GENERAL PROVISIONS
14.1 Changes to Terms
KADA reserves the right to update these Terms at any time. Changes will be posted on our website with the updated "Last Updated" date. Continued use of services after changes constitutes acceptance of new Terms.
14.2 Entire Agreement
These Terms, together with any signed service agreements or proposals, constitute the entire agreement between you and KADA regarding services purchased.
14.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
14.4 Waiver
Failure by KADA to enforce any provision of these Terms does not constitute a waiver of that provision.
14.5 Assignment
You may not assign or transfer your rights under these Terms without KADA's written consent. KADA may assign these Terms to a successor business entity.
14.6 Force Majeure
Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control (natural disasters, strikes, government actions, pandemics, technical failures).
